Terms of Business
1. ABOUT THESE TERMS
1.1 These Terms of Business (“Terms”) set out the basis upon which Go Gas and Power Limited (“Go Gas & Power”, “we”, “us” or “our”) provides energy procurement, utility management and related services to its business customers (“Customer”, “you” or “your”).
1.2 Go Gas and Power Limited is registered in England and Wales under company number 10752278. Our registered office is Unit 16K, Spey House, Mandale Business Park, Durham, DH1 1TH.
1.3 We are an energy intermediary and utility management company. We are not an energy supplier and do not supply gas or electricity to you.
1.4 By signing our Letter of Authority (“LOA”), or otherwise expressly instructing or authorising us to provide Services to you subject to these Terms, you appoint us to provide the Services described below and agree to these Terms.
1.5 These Terms govern the services provided by Go Gas & Power. Any energy supply contract is a separate contract entered into directly between you and the relevant energy supplier and is subject to that supplier’s contractual terms.
2. OUR SERVICES
2.1 Depending upon your requirements, circumstances and the authority and information available to us, our services (“Services”) may include:
(a) obtaining and reviewing gas and electricity supply quotations;
(b) energy procurement and contract negotiation;
(c) presenting energy supply options for your consideration;
(d) ongoing utility account management;
(e) reviewing and validating energy bills;
(f) liaising with suppliers in relation to billing, metering, consumption, payments and account queries;
(g) market monitoring and procurement advice;
(h) analysis and advice relating to electricity supply capacity and associated charges;
(i) assistance with Climate Change Levy (“CCL”) exemptions, reductions, refunds and reclaims where applicable;
(j) administration relating to qualifying energy schemes, exemptions or applications, including BICS applications and any replacement or similar schemes;
(k) obtaining consumption, billing, meter, contract and other relevant information from suppliers and relevant industry parties;
(l) assisting with supplier complaints and disputes; and
(m) such other utility management services as may be agreed between us from time to time.
2.2 The Services appropriate to you will depend upon your individual circumstances. Signing our LOA does not mean that every Service listed above will necessarily be required or provided.
2.3 Unless otherwise stated in these Terms or separately agreed with you in writing, we do not charge an upfront fee for the Services described above. Our principal remuneration is ordinarily received from an energy supplier where an energy supply contract is arranged through us, as explained in clause 6.
2.4 CCL reclaim services are subject to the separate success fee described in clause 7.
2.5 Unless expressly agreed otherwise in writing, our Services do not constitute legal, tax, accounting or regulated financial advice.
3. LETTER OF AUTHORITY
3.1 You will normally be required to provide us with a signed LOA enabling us to communicate with energy suppliers and other relevant organisations and to obtain information reasonably required to provide the Services.
3.2 The authority provided to us is subject to the terms and limitations contained within the LOA.
3.3 Our standard LOA does not authorise Go Gas & Power to enter into or sign a new energy supply contract on your behalf.
3.4 You remain responsible for deciding whether to enter into an energy supply contract and for ensuring that any person signing or accepting a contract on behalf of your organisation has the necessary authority to do so.
4. ENERGY PROCUREMENT
4.1 Where you ask us to procure or assist with the procurement of an energy supply contract, we may approach energy suppliers with whom we have commercial arrangements or from whom we are able to obtain offers.
4.2 Unless we expressly confirm otherwise in writing, we do not represent that we conduct a whole-of-market comparison of every supplier, tariff or energy product available in the market.
4.3 We will seek to identify and present offers which we consider appropriate having regard to the information available to us, your stated requirements and prevailing market conditions.
4.4 Energy prices can change rapidly. Any quotation or offer is subject to the supplier’s validity period, credit approval, contract acceptance and any other conditions imposed by the supplier.
4.5 We cannot guarantee that an offer will remain available until accepted by the supplier or that a contract arranged through us will ultimately prove to have been the lowest-priced contract that could have been obtained at that time or at a later date.
4.6 Before entering into an energy supply contract, you should review the supplier’s contract, Principal Terms and other contractual documentation, including the price, contract duration, commencement date, termination provisions, applicable fees and charges and the commission or brokerage information disclosed by the supplier.
4.7 The final decision whether to enter into an energy supply contract remains yours.
5. ENERGY SUPPLY CONTRACTS
5.1 Any energy supply agreement introduced, negotiated or arranged through us is entered into directly between you and the relevant energy supplier.
5.2 The supplier is responsible for supplying gas and/or electricity and for performing its obligations under the energy supply contract.
5.3 Go Gas & Power is not a party to your energy supply contract merely because we introduced the supplier, obtained or negotiated the offer, assisted with the procurement process or provide ongoing account management services.
5.4 Your rights and obligations relating to the supply of energy are governed by the energy supplier’s contract.
5.5 Terminating or withdrawing our authority to act does not, by itself, terminate or vary an energy supply contract which you have entered into with a supplier.
6. OUR REMUNERATION
6.1 Where you enter into an energy supply contract that Go Gas & Power has introduced, negotiated or arranged, we will ordinarily receive remuneration from the chosen energy supplier for the services we provide.
6.2 This remuneration may be described as commission, brokerage, a service fee or a Third Party Intermediary (“TPI”) fee.
6.3 Our commission is ordinarily incorporated by the supplier into the energy price payable by you under the relevant energy supply contract, including by way of an amount incorporated into the unit rate and/or other applicable charges.
6.4 Where commission is incorporated into your energy price, you pay the relevant energy charges to the supplier through your energy bills and the supplier subsequently pays the agreed commission to Go Gas & Power. You do not normally make a separate payment to us in respect of that commission.
6.5 The commission or brokerage rate applicable to an energy supply contract will be disclosed within the supplier’s contract, Principal Terms and/or associated contractual documentation provided to you before you enter into that contract. You should review this information together with the other pricing and contractual information before accepting or signing the energy supply contract.
6.6 Where commission is calculated by reference to energy consumption, including where it is expressed as an amount in pence per kilowatt hour (p/kWh), the total amount ultimately received by Go Gas & Power will depend upon the amount of energy actually consumed and charged under the relevant supply contract.
6.7 Any illustration of the total commission over the contract term which is based upon estimated consumption is necessarily an estimate. Actual commission may be higher or lower if actual consumption differs from the estimated consumption.
6.8 By accepting or signing the relevant energy supply contract after being provided with the supplier’s contractual documentation containing the applicable commission or brokerage rate, you acknowledge the disclosed commission arrangement and that Go Gas & Power will receive remuneration from the supplier in connection with arranging and/or servicing that contract.
6.9 The commission received by Go Gas & Power remunerates us for the energy procurement, account management and other utility management Services we provide. Unless otherwise agreed with you, those Services are not subject to an additional upfront procurement or management fee.
6.10 Our receipt of commission from a supplier does not make us an energy supplier or a party to your energy supply contract and does not give us authority to enter into a supply contract on your behalf.
7. CLIMATE CHANGE LEVY RECLAIMS
7.1 As part of our Services, we may identify circumstances in which you may be entitled to recover, reclaim or receive a credit in respect of Climate Change Levy (“CCL”) previously charged.
7.2 Where you instruct us to undertake a CCL reclaim, our fee will be 20% of the value successfully recovered or credited, plus VAT where applicable, unless a different fee has been agreed with you in writing.
7.3 For the purpose of this clause, a successful recovery includes a refund, repayment, account credit or other retrospective financial adjustment obtained as a result of the CCL reclaim undertaken by us.
7.4 Our fee becomes due when the relevant refund, repayment, credit or adjustment has been made, received or confirmed by the relevant supplier or other party.
7.5 We will invoice you for our fee, which must be paid within 14 days of the invoice date.
7.6 We cannot guarantee that a CCL reclaim will be successful or that any particular amount will be recovered.
7.7 Unless otherwise expressly agreed in writing, the 20% fee applies to retrospective sums successfully recovered or credited and does not apply to future savings resulting solely from the correct CCL treatment being applied prospectively.
8. ACCOUNT MANAGEMENT AND BILL VALIDATION
8.1 Where appropriate, we may review energy invoices, consumption data, meter information and contractual charges and raise queries with suppliers on your behalf.
8.2 We will use reasonable care and skill in providing these Services but cannot guarantee that every billing error, overcharge or account issue will be identified.
8.3 You remain responsible for reviewing and paying invoices issued by your supplier in accordance with your energy supply contract unless the supplier confirms otherwise.
8.4 You should notify us promptly if you identify an unexpected charge, significant consumption change, meter issue, billing discrepancy or other account problem.
9. CAPACITY ANALYSIS, ADVICE AND MARKET MONITORING
9.1 We may provide analysis and advice concerning electricity supply capacity, consumption patterns, market conditions, contract timing and potential procurement strategies.
9.2 Our analysis and advice will be based upon information available to us at the relevant time and may involve forecasts, estimates and assumptions.
9.3 Wholesale energy markets, industry charges, taxation and regulation can change. Market monitoring and procurement advice cannot therefore guarantee future energy prices, savings or other financial outcomes.
9.4 Capacity recommendations depend upon the accuracy of the consumption and operational information available to us. You should notify us of planned operational changes which could materially affect your future energy requirements.
10. CUSTOMER RESPONSIBILITIES
10.1 You agree to:
(a) provide information that is accurate and complete to the best of your knowledge;
(b) provide bills, consumption information, meter details and other information reasonably required for us to provide the Services;
(c) tell us about material changes to your premises, operations, energy usage or requirements which may affect the Services;
(d) review the supplier’s contractual documentation before accepting or signing an energy supply contract;
(e) ensure that anyone accepting or signing an energy supply contract on your behalf has authority to bind your organisation;
(f) promptly provide information or assistance reasonably requested by us; and
(g) notify us of any material account, billing or supplier issues of which you become aware.
10.2 We are entitled to rely upon information provided by you, your energy supplier and relevant third parties unless we have reasonable grounds to believe that information is incorrect.
11. DATA PROTECTION
11.1 Each party will comply with applicable data protection legislation, including the UK General Data Protection Regulation (“UK GDPR”) and the Data Protection Act 2018.
11.2 In providing the Services, we may obtain and process information relating to your business, premises, energy supplies, accounts and representatives. This may include contact information, supply and meter details, consumption information, billing history, payment or debt information and other information reasonably required to provide the Services.
11.3 We may obtain relevant information from you, energy suppliers, network operators, meter operators, industry data services and other relevant third parties where authorised by the LOA or otherwise lawfully permitted.
11.4 We may share relevant information with energy suppliers and other third parties where reasonably necessary to provide the Services, obtain quotations, administer your utility accounts, investigate billing matters, process applications, resolve disputes or otherwise act in accordance with your authority.
11.5 Where information constitutes personal data, we will process it in accordance with applicable data protection legislation and our Privacy Notice.
11.6 Our Privacy Notice is available at www.gogasandpower.com.
12. CONFIDENTIALITY
12.1 Each party will take reasonable steps to protect confidential information received from the other and will not disclose such information except where:
(a) reasonably necessary to provide or receive the Services;
(b) disclosure is authorised by the other party;
(c) disclosure is required by law, regulation, a court or competent authority; or
(d) disclosure is reasonably necessary to establish, exercise or defend legal rights.
13. DURATION AND TERMINATION
13.1 These Terms apply from the date on which you accept them and continue while we provide Services to you unless terminated in accordance with this clause.
13.2 The LOA may have a separate validity period. Expiry or withdrawal of the LOA may prevent us from providing Services which require authority to communicate with or obtain information from third parties.
13.3 You may ask us to cease providing Services or withdraw our authority to act by providing written notice.
13.4 Termination of our Services or withdrawal or expiry of an LOA does not itself terminate, cancel or vary an energy supply contract you have entered into with an energy supplier.
13.5 Where an energy supply contract has already been entered into and contains commission payable to Go Gas & Power through the supplier, termination of our Services or withdrawal of the LOA does not retrospectively alter the pricing or commission arrangements contained within that supply contract. The payment and treatment of commission will remain subject to the relevant supply contract and the applicable arrangements with the supplier.
13.6 Any fees already due to us, including fees relating to successful CCL reclaims, remain payable following termination.
14. STANDARD OF SERVICE AND LIABILITY
14.1 We will provide our Services with reasonable care and skill.
14.2 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation or for death or personal injury caused by negligence.
14.3 Subject to clause 14.2, we will not be responsible for loss or damage to the extent caused by:
(a) inaccurate, incomplete or misleading information provided by you or a third party;
(b) the acts, omissions, insolvency, systems or failure of an energy supplier or other third party;
(c) changes in wholesale energy prices, taxation, regulation, network charges or other market conditions outside our reasonable control;
(d) your failure to comply with the terms of an energy supply contract;
(e) your failure to provide information or instructions reasonably required for us to provide the Services; or
(f) circumstances outside our reasonable control.
14.4 Subject to clause 14.2 and to the extent permitted by law, we will not be liable for indirect or consequential loss or for loss of profit, revenue, business or anticipated savings.
15. COMPLAINTS AND DISPUTE RESOLUTION
15.1 We aim to provide a high standard of service. If you are dissatisfied with our Services, please contact us so that we can investigate your complaint.
15.2 Our complaints procedure is available on request and at www.gogasandpower.com/contact-us.
15.3 Where you qualify for access to an applicable independent dispute resolution, ombudsman or redress scheme, we will provide details of the applicable scheme and how it may be accessed in accordance with the requirements applying at the relevant time.
15.4 Nothing in this clause prevents either party from exercising any legal rights available to it.
16. CHANGES TO THESE TERMS
16.1 We may update these Terms from time to time to reflect changes in our Services, applicable law, regulation or industry requirements.
16.2 Updated Terms will apply prospectively. We will not use an amendment to these Terms to retrospectively alter the agreed commission or other financial terms of an energy supply contract already entered into.
16.3 Where a change materially affects an ongoing Service or your rights or obligations, we will take reasonable steps to notify you.
17. GENERAL
17.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
17.2 A delay or failure by either party to exercise a right does not waive that right.
17.3 Nothing in these Terms creates a partnership, joint venture, agency for the purpose of entering into energy supply contracts, or employment relationship between you and Go Gas & Power.
17.4 Our authority to represent you when dealing with suppliers and other relevant third parties is limited to the authority granted by you, including under the LOA.
17.5 Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
17.6 These Terms, together with the LOA and any separately agreed written terms relating to a particular Service, set out the basis upon which we provide the Services to you. They do not replace or form part of your separate energy supply contract with a supplier.
18. GOVERNING LAW AND JURISDICTION
18.1 These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.
18.2 Subject to any applicable statutory dispute resolution rights, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms.
